Axsim Sale Terms and Conditions

Who These Terms Apply To
These terms cover any sale between Cranfield Aerospace Solutions Limited, trading as ‘Axsim’ (“we/us/our”) and you (the “customer/you/your”). By placing an order, you agree to these terms.
What We Sell
We manufacture and supply motorsport simulators and related equipment. All specifications are described in our quotations and order confirmations. Some products include components and software made by third-party manufacturers (for example, D-BOX haptic platforms and motion software). Where applicable, additional “Third-Party Components – Consumer Terms” below will apply; your statutory rights remain unaffected.
Placing an Order
Quotes are valid for 30 days unless we state otherwise. All prices given exclude VAT unless specified. Your order isn’t confirmed until the deposit agreement is signed by both parties, deposit is received and the sale agreement is signed by both parties. we may refuse an order before confirmation. We may decline orders for delivery to locations where shipping is prohibited by law or our suppliers’ embargo restrictions (we will notify you and refund any payment if this occurs).*
* For example, our suppliers prohibit distribution to certain sanctioned or embargoed territories; we cannot ship to those locations.
Price and Payment
Payment is due in full before delivery unless we agree otherwise in writing. Prices are fixed once we confirm your order (adjustments apply if you later change specifications). Late payments may incur interest at 4% above the Bank of England base rate; we may suspend deliveries until overdue amounts are paid.
Delivery & Delivery Dates
We’ll provide an estimated delivery date and take reasonable steps to meet it. We aim to meet it, but delays can happen. We’re not liable for delays unless they’re unreasonable. Details of delivery will be agreed between both parties in the sale agreement.
If we miss the estimated date, we’ll keep you updated and provide a new date. You may be entitled to cancel if the delay is substantial—nothing in this section affects your statutory rights.
Risk in the goods passes when delivered to your address. If you miss delivery and redelivery is required, additional costs may apply.
Installation (if applicable)
You must provide safe access, ensure the space meets our specifications (we’ll share these in advance), and have power/connectivity ready. We’re not responsible for delays caused by inadequate site preparation.
You will be asked provide a video walk through of the intended installation location, or alternatively facilitate a visit for our installers.
Title and Ownership
Title passes to you once paid in full. You must not resell the product as new before title passes. Liability passes to you once the simulator is delivered, installed and accepted.
Returns and Cancellations (Consumer)
You have 14 days from delivery to cancel a distance purchase, except for custom-built simulators where statutory exemptions apply. Goods should be returned unused and in original condition; you pay return costs unless the product is faulty. This is in addition to your statutory rights, including the short-term right to reject faulty goods within 30 days.
Faulty Goods & Consumer Remedies
If your goods are faulty, contact us promptly. We’ll assess and offer a repair, replacement, or refund as appropriate under your statutory rights. Where the fault relates to a D-BOX component, you will always deal with Axsim (not D-BOX) for support and warranty—see “Third-Party Components – Consumer Terms.”
Warranty
Axsim Warranty: 12 months from delivery on Axsim-manufactured parts; we will repair or replace parts that fail due to manufacturing defects.
**D-BOX Manufacturer Warranty:** 12 months from delivery on D-BOX hardware components (actuators, controllers, bridges) supplied with your simulator. We will coordinate repairs/replacements under the manufacturer’s warranty; your statutory rights are not affected.
**Exclusions** include normal wear and tear; damage from misuse/accidents/negligence; unauthorised modifications; failures caused by non-Axsim third-party software or systems; and use outside published specifications.
Dead on Arrival (DOA): If a D-BOX component proves non-functional on first use and you notify us within 30 days of receipt, we will arrange replacement or repair without charge and handle logistics with the manufacturer. You must return the affected component(s) complete and undamaged for assessment. (Process reflects the D-BOX DOA parameters we follow internally.)
Nothing in this Warranty affects your statutory rights.
Your Rights Under UK Law
Nothing in these terms removes your statutory rights under the Consumer Rights Act 2015 and related consumer legislation.
Our Liability
We’re responsible for foreseeable loss or damage caused by our breach or our negligence; we don’t exclude your statutory rights or limit liability where unlawful.
Data and Privacy
We handle your personal data per UK GDPR and our Privacy Policy. Where support is required for third-party components (e.g., D-BOX), we may share necessary technical details (e.g., serial numbers, fault descriptions) with the manufacturer to process repairs; we remain your primary contact.
Software and Intellectual Property
Third-party software (e.g., D-BOX Motion Code) is licensed, not sold, for your personal, non-commercial use with the product. You must not copy, modify, distribute, sell, or sublicense it or attempt to reverse engineer it except to the extent such restriction is prohibited by law. All intellectual property in such software and in associated brands, designs and technical specifications remains with the manufacturer (e.g., D-BOX/MBG).
Branding & labels: You must not remove or deface safety labels, serial numbers, or regulatory markings; doing so may affect manufacturer warranties (your statutory rights remain). You have no right to use D-BOX or MBG trademarks except as reasonably necessary to describe or resell the product you own.
Safe Use, Modifications and Compliance
You agree to use the simulator safely, follow the user guides, and not make unsafe or unauthorised modifications. Certain modifications or unintended use may invalidate manufacturer warranties (statutory rights remain). If we notify you of a safety action or recall, you agree to stop using affected components and follow the remedy process (repair/replacement/refund).
After-Sales & Support Pathway (D-BOX Components)
For any D-BOX component issues, contact Axsim first. We will perform first-line troubleshooting with you, open cases with D-BOX where needed, and arrange RMA/repairs. Please retain proof of purchase and provide serial numbers and photos where requested. **Please do not contact D-BOX directly**; manufacturer support for these components is provided via Axsim under our reseller programme.
Force Majeure
We’re not liable for delays or failures caused by events beyond our reasonable control (e.g., strikes, material shortages, transport failures). If such an event continues for more than 90 days, either party may cancel the order and we’ll refund amounts paid for undelivered goods.
Entire Agreement & Changes
These terms are the whole agreement between us for your purchase and replace prior discussions. Changes must be in writing. If any part of these terms is found unlawful, the rest remains in effect.
Governing Law
These terms are governed by English law; courts of England and Wales have jurisdiction.
THIRD-PARTY COMPONENTS – CONSUMER TERMS (D-BOX / MBG-branded platform)
**A. Scope** – If your product includes a D-BOX haptic platform and/or D-BOX Motion Code, this section applies in addition to the terms above.
**B. Licence** – The D-BOX Motion Code is licensed for personal use with your product; reverse engineering is prohibited except where such restriction is prohibited by law. No copying, sublicensing or distribution. All IP remains with D-BOX/its licensors.
**C. Warranty & DOA** – D-BOX; Axsim manages repairs/replacements. DOA claims must be notified within 30 days of receipt, with return of the complete item as delivered.
**D. Branding & Safety** – Do not remove or deface safety labels or serials on D-BOX components. You may not use D-BOX/MBG marks except to describe your product.
**E. Support** – You must contact Axsim for all support; Axsim will liaise with D-BOX where required and handle RMA logistics.
**F. Sanctions/Embargo** – We cannot fulfil orders to certain embargoed territories identified by our suppliers and/or law; if this affects your order, we’ll cancel and refund.
